1. Acceptance of Terms and Binding Agreement

These Terms of Service (“Terms”, “Agreement”) constitute a legally binding agreement between Infinity Realty Real Estate LLC (“Company”, “we”, “us”, or “our”), a limited liability company duly incorporated under the laws of the United Arab Emirates and licensed by the Real Estate Regulatory Agency (RERA), and you (“User”, “you”, or “your”), being any natural or legal person who accesses, browses, registers on, or otherwise makes use of the website located at infinityrealty.ae and any associated subdomains, APIs, or digital services operated by the Company (collectively, the “Platform”).

BY ACCESSING OR USING THE PLATFORM IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS IN THEIR ENTIRETY. If you do not agree to these Terms, you must immediately cease all access to and use of the Platform. Your continued use of the Platform following any amendment to these Terms shall constitute your unconditional acceptance of such amendments.

These Terms should be read in conjunction with our Privacy Policy and Cookies Policy, each of which is incorporated herein by reference and forms an integral part of this Agreement.

2. Definitions

For the purposes of these Terms, the following definitions shall apply:

  • “Content” means all text, data, information, images, photographs, graphics, video, audio, software, and any other material published, displayed, or otherwise made available on the Platform.
  • “Intellectual Property Rights” means all patents, rights to inventions, copyright and related rights, trade marks, trade names and domain names, rights in get-up, goodwill, database rights, and all other intellectual property rights, whether registered or unregistered.
  • “Listing” means any property advertisement, description, or associated information displayed on the Platform.
  • “Services” means the real estate information, consultancy, marketing, referral, and related ancillary services made available through the Platform.
  • “User Content” means any information, data, or material submitted by you to the Platform, including enquiry forms, comments, and feedback.

3. Nature of Services and No Agency Relationship

The Company operates as a licensed real estate brokerage and marketing platform. The Platform is provided as an information and facilitation service and does not constitute financial, investment, legal, or tax advice. Nothing on the Platform should be construed as a solicitation or offer to buy or sell any property or investment product. The Company acts as an introducing broker or agent only; it does not act as a trustee, fiduciary, or fund manager in respect of any transaction facilitated through the Platform.

Property Listings displayed on the Platform are provided for general informational purposes only. While the Company endeavours to ensure the accuracy and currency of such information, Listings are subject to change, withdrawal, prior sale, and errors without notice. The Company makes no representation or warranty, express or implied, as to the accuracy, completeness, or fitness for purpose of any Listing.

4. Permitted and Prohibited Use

The Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial use, subject to your compliance with these Terms. You agree that you shall not, under any circumstances:

  • Access or use the Platform in any manner that violates applicable federal, emirate-level, or international laws, regulations, or directives;
  • Engage in any conduct that is fraudulent, deceptive, defamatory, obscene, or otherwise harmful to the Company, its clients, or third parties;
  • Transmit, upload, or distribute any unsolicited commercial communications, spam, phishing materials, malware, or other harmful code;
  • Attempt to circumvent, disable, or interfere with any security, authentication, or access control features of the Platform;
  • Use automated scripts, bots, crawlers, data mining tools, or similar technologies to extract, scrape, or aggregate any data or Content from the Platform without the prior written consent of the Company;
  • Reproduce, republish, distribute, sell, sublicense, transmit, or otherwise exploit any Content without express prior written authorisation from the Company;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Attempt to gain unauthorised access to any systems, networks, servers, databases, or accounts associated with the Platform;
  • Engage in any activity that disproportionately burdens the Platform’s infrastructure or impairs the experience of other users.

5. Intellectual Property Rights

All Content on the Platform, including but not limited to text, articles, blog posts, property descriptions, photographs, renderings, architectural illustrations, logos, trade marks, service marks, and software, is the exclusive property of the Company or its licensors and is protected under UAE Federal Law No. 7 of 2002 concerning Copyrights and Neighbouring Rights, as amended, and applicable international intellectual property conventions to which the UAE is a signatory.

No Content may be copied, reproduced, distributed, published, displayed, modified, adapted, translated, reverse-engineered, or otherwise used without the prior express written permission of the Company or the applicable rights holder. The Company reserves all rights not expressly granted herein. Any unauthorised use of the Content may constitute an infringement of copyright, trade mark, and other applicable laws and may give rise to civil liability and criminal penalties.

6. User-Submitted Content and Submissions

By submitting any User Content to the Platform, you represent and warrant that: (a) you own or have the necessary rights, licences, consents, and permissions to submit such content; (b) the content does not infringe any third-party Intellectual Property Rights or other proprietary rights; and (c) the content is accurate, not misleading, and complies with applicable law.

You hereby grant to the Company a worldwide, irrevocable, royalty-free, perpetual, sub-licensable licence to use, reproduce, modify, adapt, publish, translate, and distribute any User Content you submit through the Platform for the purposes of operating and improving the Services. The Company reserves the right to remove any User Content at its sole discretion without notice or liability.

7. Disclaimers and No Warranties

THE PLATFORM AND ALL CONTENT, SERVICES, AND MATERIALS AVAILABLE THEREON ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE.

The Company does not warrant that: (a) the Platform will be uninterrupted, error-free, or free of viruses or other harmful components; (b) any defects will be corrected; (c) any information or content on the Platform is accurate, complete, or current; or (d) the results obtained from using the Platform will meet your requirements or expectations. You access and use the Platform entirely at your own risk.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONTENT OR CONDUCT OF ANY USER; (C) UNAUTHORISED ACCESS, USE, OR ALTERATION OF YOUR DATA; OR (D) ANY OTHER MATTER RELATING TO THE PLATFORM OR SERVICES.

To the maximum extent permitted by law, the Company’s total aggregate liability to you in respect of any claims arising under or in connection with these Terms shall not exceed the amount, if any, paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim, or AED 500, whichever is lesser.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its respective directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from or relating to: (a) your use or misuse of the Platform; (b) your breach of any provision of these Terms; (c) your violation of any applicable law, regulation, or third-party right; or (d) any content or data you submit through the Platform. The Company reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate fully with such defence.

10. Third-Party Links and External Services

The Platform may contain hyperlinks to third-party websites, services, and resources that are not owned, operated, or controlled by the Company. Such links are provided solely as a convenience to users and do not constitute an endorsement, sponsorship, or recommendation of such third parties or their content, products, or services. The Company has no control over and accepts no responsibility for the content, privacy practices, or availability of any third-party website. Your access to and use of third-party resources is entirely at your own risk and subject to the terms and conditions of those third parties.

11. Anti-Money Laundering and Regulatory Compliance

The Company is subject to UAE Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering and Combating the Financing of Terrorism, and associated regulatory requirements applicable to designated non-financial businesses and professions (DNFBPs) in the real estate sector. Accordingly, the Company is required to conduct customer due diligence on clients engaging in property transactions meeting applicable thresholds, verify the identity of beneficial owners, and report suspicious transactions to the competent authorities. Your use of the Services constitutes your acknowledgement of and consent to these compliance obligations.

12. Termination of Access

The Company reserves the right, at its absolute discretion and without notice or liability, to suspend or terminate your access to and use of the Platform at any time, including where we reasonably believe that you have breached any provision of these Terms, engaged in fraudulent or unlawful conduct, or for any other business reason we consider appropriate. Upon termination, all licences granted to you hereunder shall immediately cease and you must promptly destroy any Content downloaded or stored by you.

13. Governing Law and Dispute Resolution

These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed exclusively in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall first be subject to good-faith negotiation between the parties. If the parties are unable to resolve the dispute through negotiation within thirty (30) days, the dispute shall be referred to and finally resolved by the competent courts of the Emirate of Dubai, to the exclusive jurisdiction of which the parties hereby irrevocably submit.

14. Severability and Waiver

If any provision of these Terms is held by a court or other competent authority to be invalid, unlawful, or unenforceable, such provision shall be deemed severed from the remaining provisions, which shall continue in full force and effect. No failure or delay by the Company in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any further exercise of that or any other right.

15. Entire Agreement and Amendments

These Terms, together with the Privacy Policy and Cookies Policy, constitute the entire agreement between you and the Company with respect to your use of the Platform and supersede all prior and contemporaneous agreements, representations, warranties, and understandings. The Company reserves the right to modify these Terms at any time. Material changes will be communicated by posting the revised Terms on this page with an updated effective date. Your continued use of the Platform following the posting of changes constitutes your acceptance of the revised Terms.
